Important: These Terms govern access to and use of Woyof.com, merchant dashboards, storefronts powered by Woyof, related subdomains, APIs, integrations, and associated services. By using Woyof, you agree to these Terms.
1. Introduction
Welcome to Woyof (“Woyof,” “we,” “us,” or “our”). Woyof is a platform that enables merchants, businesses, creators, and other users to create and manage online stores, receive and manage orders, communicate with customers, and use business tools and related services.
These Terms of Service (“Terms”) govern your access to and use of Woyof.com and all related services that link to or reference these Terms.
2. Acceptance of Terms
By accessing or using Woyof, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.
If you use Woyof on behalf of a business or another legal person, you represent that you have authority to bind that entity to these Terms.
3. Eligibility
You may use Woyof only if you are legally capable of entering into a binding agreement under applicable law. If you create an account on behalf of a business, you are responsible for ensuring that the information provided is accurate and that all authorized users comply with these Terms.
4. The Services
Woyof may provide tools and services including, without limitation:
• online storefront creation and hosting;
• merchant dashboards and store administration tools;
• order management, fulfillment, pickup, delivery, reservation, or booking features;
• custom domains, subdomains, and related setup tools;
• customer communication features;
• integrations with third-party services such as payment gateways, analytics providers, email tools, maps, and messaging services; and
• any related updates, features, content, and support made available by Woyof.
We may modify, improve, suspend, or discontinue any part of the Services at any time, with or without notice, to the extent permitted by law.
5. Account Registration and Security
To use certain features, you may need to create an account. You agree to provide accurate, complete, and current information and to keep it updated.
You are responsible for:
• maintaining the confidentiality of your login credentials;
• restricting access to your account and devices;
• all activities that occur under your account; and
• promptly notifying us at support@woyof.com if you suspect unauthorized access or a security incident.
We may suspend or restrict accounts that appear compromised, misleading, unlawful, abusive, or in violation of these Terms.
6. Merchant Responsibilities
If you use Woyof as a merchant, seller, operator, or business user, you are solely responsible for your store, products, services, pricing, offers, content, staff access, promotions, legal notices, taxes, licenses, fulfillment, customer support, refunds, and compliance with applicable laws.
You are also responsible for ensuring that:
• your storefront content is accurate and not misleading;
• products or services offered through Woyof are lawful where offered and sold;
• required disclosures, terms, and privacy notices are provided to your customers;
• required consents are obtained where necessary; and
• staff members, contractors, and agents acting under your account follow these Terms.
7. Orders, Customer Transactions, and Merchant-Customer Relationship
Woyof provides software and platform infrastructure. Unless expressly stated otherwise, Woyof is not the seller of the merchant’s goods or services and is not a party to transactions between merchants and their customers.
Merchants are responsible for accepting, rejecting, fulfilling, refunding, canceling, servicing, and resolving issues related to their own transactions. Customers should direct store-specific questions, product complaints, and fulfillment disputes to the relevant merchant first.
8. Payments and Third-Party Providers
Woyof may integrate with third-party payment providers and other third-party services. Your use of those services may be subject to separate terms, fees, and privacy policies imposed by the relevant providers.
Woyof is not responsible for the performance, downtime, security, chargebacks, holds, payouts, currency conversion, fraud screening, or errors of third-party providers.
You are responsible for reviewing and accepting the terms of any third-party providers you choose to use with Woyof.
9. Fees, Billing, and Subscription Terms
Certain Woyof features may be offered on a paid basis, including subscription plans, add-ons, transaction-based pricing, implementation fees, or other commercial terms.
If you subscribe to a paid Service:
• you agree to pay all applicable fees, taxes, and charges;
• you authorize the selected payment method to be charged as agreed;
• fees are generally non-refundable except where required by law or expressly stated otherwise; and
• we may change pricing or plan features in the future with reasonable notice where required.
If payment is overdue or cannot be collected, we may suspend or limit access to paid features.
10. Acceptable Use
You agree not to use Woyof to:
• violate any law or regulation;
• infringe intellectual property, privacy, publicity, or other rights;
• distribute unlawful, fraudulent, deceptive, defamatory, hateful, or abusive content;
• upload malware, malicious code, or harmful scripts;
• attempt unauthorized access, reverse engineer, disrupt, or interfere with the Services;
• scrape, copy, or exploit the Services in an unauthorized manner;
• use Woyof to facilitate spam, phishing, fraud, or other harmful activity; or
• bypass plan limits, technical restrictions, or security measures.
11. Content and Intellectual Property
As between you and Woyof, you retain ownership of content, materials, logos, images, product data, and other information you submit or upload to the Services (“User Content”).
You grant Woyof a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, process, transmit, and use User Content as reasonably necessary to operate, improve, secure, and provide the Services.
Woyof and its licensors retain all rights, title, and interest in the Services, software, platform design, branding, documentation, and related intellectual property, except for User Content owned by users.
12. Feedback
If you provide suggestions, ideas, recommendations, or feedback regarding Woyof, you agree that we may use them without restriction or obligation to you.
13. Privacy
Our collection and use of personal data are described in the Woyof Privacy Policy. By using Woyof, you acknowledge that personal data may be processed in accordance with that policy.
14. Availability, Beta Features, and Service Changes
We aim to provide a reliable service, but we do not guarantee that Woyof will be uninterrupted, error-free, or available at all times.
Some features may be labeled alpha, beta, preview, early access, or similar. Those features may change quickly, contain errors, or be discontinued, and may be provided with reduced support or no guarantees.
15. Suspension and Termination
We may suspend, restrict, or terminate access to all or part of the Services if:
• you violate these Terms;
• your use creates risk for Woyof, other users, or third parties;
• required by law or by a valid legal request; or
• fees remain unpaid.
You may stop using the Services at any time. Termination does not relieve you of obligations accrued before termination, including payment obligations where applicable.
16. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Woyof disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Services will meet your requirements, that results will be accurate or reliable, or that the Services will be secure or free from interruption, errors, viruses, or harmful components.
17. Limitation of Liability
To the maximum extent permitted by law, Woyof and its affiliates, service providers, licensors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, customers, business opportunities, or other intangible losses arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, the total liability of Woyof for all claims arising out of or relating to the Services or these Terms shall not exceed the amount paid by you to Woyof for the Services during the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (US$100) if no such payments were made.
18. Indemnification
You agree to defend, indemnify, and hold harmless Woyof from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
• your use of the Services;
• your User Content;
• your products, services, offers, or transactions;
• your breach of these Terms; or
• your violation of applicable law or the rights of a third party.
19. Third-Party Links and Integrations
The Services may include links to third-party sites or integrations with third-party products and services. Woyof does not control and is not responsible for third-party content, services, policies, or practices.
20. Governing Principles and Dispute Resolution
These Terms shall be interpreted in accordance with applicable law designated in a future updated version of these Terms once Woyof formalizes its legal structure and governing jurisdiction. Until then, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiations by contacting support@woyof.com.
If a dispute cannot be resolved informally, the parties may pursue any remedies available under applicable law before a competent court or tribunal.
21. Changes to the Terms
We may update these Terms from time to time. When we do, we will update the “Last Updated” date above. Continued use of the Services after updated Terms become effective means you accept the revised Terms, except where additional consent is required by law.
